1. Agreement to Terms

By accessing or using SecureDraft AI's enterprise document drafting platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and SecureDraft AI Inc. ("Company," "we," "us," or "our").

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Service.

2. Description of Service

SecureDraft AI provides an enterprise-grade artificial intelligence platform for document drafting, policy enforcement, confidentiality classification, and compliance management. The Service includes:

• AI-powered document generation and drafting assistance
• Policy enforcement and compliance checking tools
• Confidentiality classification and data protection features
• Approval workflow management and audit logging
• Integration capabilities with third-party systems
• Administrative dashboards and reporting tools

3. Account Registration and Security

To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that all users within your organization comply with these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Subscription and Payment Terms

Access to the Service requires a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected plan
• Automatic renewal of subscriptions unless cancelled before the renewal date
• Provide accurate billing information and authorize recurring charges
• Accept that fees are non-refundable except as required by law

We reserve the right to modify pricing with 30 days advance notice. Price changes will take effect at the start of your next billing cycle.

5. Intellectual Property Rights

The Service, including all software, algorithms, user interfaces, designs, and documentation, is owned by SecureDraft AI and protected by intellectual property laws. You retain ownership of content you create using the Service, subject to our license to process such content to provide the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of our software.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECUREDRAFT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless SecureDraft AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

8. Termination

Either party may terminate these Terms:

• For convenience with 30 days written notice
• Immediately if the other party materially breaches these Terms
• Immediately if required by law or regulatory authority

Upon termination, your access to the Service will cease, and we will delete your data in accordance with our Data Processing policies.

9. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Before initiating arbitration, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

10. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be communicated via email at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
